Terms of Service

1. Acceptance of Terms
By accessing or using any products or services provided by Zero Di, LLC ("Zero Di," "we," "us," or "our"), including the RIOT (Risk, Issue & Opportunity Tool), WBS Manager (Work Breakdown Structure Tool), Approver (Approval Management System), and Req Man applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our products or services.
2. Description of Service
Zero Di provides SharePoint Framework (SPFx) applications that operate entirely within your Microsoft 365 tenant environment:
- RIOT (Risk, Issue & Opportunity Tool) - Risk, Issue, & Opportunity management with configurable scoring, dashboards, and automated notifications.
- WBS Manager (Work Breakdown Structure Tool) - MIL-STD-881F compliant work breakdown structure management with hierarchical editing, resource allocation, cost estimation, and exportable reports.
- Approver (Approval Management System) - Multi-step approval workflow management with configurable templates, custom form fields, document uploads, and automated email notifications.
- Req Man - Enterprise requirements management with hierarchical modules, typed traceability links, baselining with diff comparison, change request workflows, and formal reviews.
3. License Grant
Subject to these Terms, Zero Di grants you a limited, non-exclusive, non-transferable license to install and use our applications within your Microsoft 365 tenant for your internal business purposes. You may not:
- Reverse engineer, decompile, or disassemble the application
- Redistribute, sublicense, or resell the application
- Remove or alter any proprietary notices or labels
- Use the application for any unlawful purpose
4. Your Responsibilities
You are responsible for:
- Maintaining the security of your Microsoft 365 tenant
- Managing user access and permissions within the application
- Backing up your SharePoint data as needed
- Ensuring compliance with your organization's policies and applicable laws
- Approving any API permissions requested by the application
5. Data Ownership
You retain all rights to the data you create, import, or manage using our applications. All data resides within your Microsoft 365 tenant and is subject to your organization's data governance policies. Zero Di does not claim any ownership rights to your data.
6. Intellectual Property
The application, including its code, design, documentation, and related materials, is the intellectual property of Zero Di, LLC and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or logos.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZERO DI DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZERO DI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.
9. Indemnification
You agree to indemnify and hold harmless Zero Di, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the application or violation of these Terms.
10. Termination
Either party may terminate these Terms at any time. Upon termination, your license to use the application ceases immediately. You may remove the application from your SharePoint tenant at any time. Data created by the application will remain in your SharePoint lists until you choose to delete it.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Continued use of the application after changes constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
